Until today at least one source says that there will be no second edition, so...
I wonder who that source is. All I can tell you is Michael from TMG commissioned me to do art updates for the second edition. I am close to having everything ready for the printer, though last time I contacted Michael the game was going to be printed together with other TMG games to be released in the near future, which might mean a small delay until the art for all the games is ready.
After that it's probably going to take at least a couple months to produce, ship and distribute, so the game will probably only be available by late 2010 or early 2011.
But unless your source knows something I don't, there's definitely going to be a second edition.
Can this 2nd edition rule book be used with the 1st edition of the game? I just ordered the game (1st edition of course) and would like to use the newer rule book unless it's edition specific...

You can definatly use the 2nd edition rules. As mentioned, the only "new" stuff in it is the inclusion of 2-player rules.

The new rulebook uses the new icons and tile design, but the resources depicted by those icons and the info in the tiles is exactly the same, so I don't see any real reason preventing you from using the new rulebook instead, and it has the benefit of including the 2-player rules.
Noting the building type very clearly under the top right graphic on building cards is an improvement. The color connection simply didn't register to some people, at least early in the first play.
Removing the prominent green border from the homestead cards is a great step. It looks like the player color is bolder as well.
My group thought it was odd that the auction board has the sheriff graphic on it, since it's covered for the entire game. I'd move it, and clearly illustrate that winning comes with 1st pick in the next round... if there's ever a third edition.
I'm not sure that I understand the switch to an isometric icon from a plan view. It looks like the commodity icons will get a little more space on the cards, and I suppose that's good.
I'm enjoying this game. Fundamentally, the gameplay is good. 1st edition publication issues aside, I like it.

No need to wait for the third edition. You're totally right about the sheriff being covered for the entire game. I will see for that being solved somehow. thanks for the comment.
The icons change is mostly an aesthetic choice. Some people still like the original ones better, but most of the people we got feedback from seem to prefer the new look.
